RabitoEats Limited ("RabitoEats," "we," "us," or the "Company") provides an online platform that connects Vendors (restaurants, grocery stores, and other merchants) with customers for the purpose of listing products (food, groceries, and related items) and enabling order placement and delivery services.

These Vendor Terms and Conditions ("Terms") govern your use of the RabitoEats platform as a Vendor and your relationship with RabitoEats. By registering as a Vendor and/or listing products through RabitoEats, you agree to these Terms, which constitute a legally binding agreement between you and RabitoEats.

1. Definitions

• Vendor: Any business entity or individual registered and onboarded to sell products (food, groceries, perishables, etc.) on the RabitoEats platform.
• Products: Food items, groceries, fresh produce (including vegetables, fruits, meat, seafood), and other items listed by the Vendor on RabitoEats.
• Order: Customer purchase requests placed through the RabitoEats platform for Products advertised by the Vendor.
• Delivery Partner: Third-party logistics providers or internal service agents responsible for fulfillment and delivery, where applicable.
• Platform: RabitoEats website, mobile applications, and associated services.

2. Onboarding and Eligibility

• Vendors must provide accurate, complete, and legally compliant information during registration.
• Vendors must submit all required licenses, permits, and certifications required by applicable local laws and food safety regulations.
• RabitoEats reserves the right to accept or reject any Vendor application at its sole discretion.

3. Vendor Obligations

• Product Listing: Vendors are solely responsible for the accuracy, legality, and quality of all Product descriptions, prices, availability, and images.
• Order Fulfillment: Vendors must fulfill Orders timely, prepare and package Products with due care, and comply with RabitoEats’ packaging, quality, and safety guidelines.
• Inventory Management: Vendors must maintain accurate inventories that reflect availability and update RabitoEats timely on stock changes.
• Compliance: Vendors must comply with all applicable laws including food safety, health, packaging, labeling, and taxation regulations.
• Customer Instructions: Vendors will attempt to honor reasonable customer special requests but will not be liable for failure to comply with non-critical instructions.
• Pricing: Vendors have sole control over product pricing. RabitoEats displays prices as provided by Vendors but is not responsible for price accuracy or changes after Order placement.

4. Order Management

• RabitoEats receives Orders from customers and authenticates them before forwarding to Vendors.
• Vendors must accept or reject Orders within stipulated timelines in RabitoEats’ system.
• Once accepted, Vendors undertake to deliver and/or prepare the Products for delivery without delay.
• Vendors are responsible for any penalties or liquidated damages arising from Order cancellations due to Vendor fault or failure to deliver.

5. Payments and Fees

• RabitoEats will collect payments from customers for Orders, including fees, taxes, delivery charges, and other applicable fees.
• Platform fees, commissions, or charges payable by Vendors will be deducted as per agreements and invoiced periodically.
• Vendors consent to RabitoEats’ payment schedule, including settlement timelines and payment methods.
• RabitoEats is not responsible for payment delays arising from banks, payment gateways, or other service providers.
• Vendors must remit any applicable taxes in compliance with local law and regulations.

6. Cancellation and Refunds

• Vendors acknowledge and agree to RabitoEats’ cancellation and refund policies for customers, including penalty provisions for late or failed cancellations.
• Refunds or credits to customers due to Vendor errors (product unavailability, poor quality, incorrect items) will be managed as per RabitoEats’ defined processes.
• Vendors may be required to compensate RabitoEats or customers for issues arising from their fulfillment or product quality lapses.

7. Content and Intellectual Property

• Vendors warrant that all content submitted (Product descriptions, images, logos) is owned or duly licensed to be used.
• Vendors grant RabitoEats a non-exclusive, worldwide license to use such content for promoting products and services.
• Vendors must not infringe on third-party intellectual property rights and will indemnify RabitoEats for any infringement claims.
• RabitoEats reserves the right to remove, edit, or refuse content violating policies or laws.

8. Data Privacy and Security

• Vendors must comply with applicable data protection laws when handling customer personal information.
• RabitoEats collects, stores, and processes personal data for providing platform services as per its Privacy Policy.
• Vendors agree not to use customer data for unauthorized purposes and to protect data privacy and security.

9. Vendor Representations and Warranties

• Vendors represent that they comply with all applicable laws, have all necessary rights, permits, and authorizations.
• Vendors will maintain food safety, health, and quality standards for all Products.
• Vendors will not engage in unlawful, unethical, or fraudulent conduct on the platform.

10. Liability and Indemnity

• RabitoEats is not the manufacturer, seller, or provider of Products but acts as an intermediary connecting Vendors and Customers.
• Vendors are solely responsible for product quality, compliance, and customer satisfaction.
• Vendors indemnify RabitoEats against all claims, damages, losses arising from Vendor breach, product defects, or legal non-compliance.
• RabitoEats’ aggregate liability to Vendors is limited as per existing agreements and law.

11. Termination

• Either party may terminate the partnership subject to notice periods and obligations in place.
• RabitoEats reserves the right to suspend or terminate Vendor access for breaches of Terms or unlawful conduct.
• Termination does not affect obligations such as payment dues, liability for past acts, or confidentiality provisions.

12. Dispute Resolution and Governing Law

• All disputes shall be governed by Indian laws or laws applicable in RabitoEats operating region.
• Jurisdiction will rest with courts having competent jurisdiction based on Vendor location.

13. Miscellaneous

• Vendor shall not assign or transfer rights without RabitoEats written consent.
• RabitoEats may modify platform features, policies, commissions, or services with prior notice.
• Specific offers, promotional programs, or incentive schemes will be governed by respective terms.

14. Contact and Support

• Vendor support contact details and grievance redressal mechanisms to be provided through RabitoEats platform.
• Vendors can escalate unresolved issues to the RabitoEats Grievance Officer (contact info per existing customer policy).
